At Buckner, we are looking for a talented and friendly Associate General Counsel to join our legal team to support retirement services. This role will work collaboratively with legal colleagues and operational leaders to ensure legal support delivers the required results aligned with Buckner’s mission, vision, and values.


5 STARS Service at Buckner:


The Associate General Counsel will provide legal support to the management of senior living communities that include independent and assisted living, skilled nursing, and long-term care environments through four key focus areas: business contracts, regulatory compliance, policy and procedure, and senior living strategic initiatives.  

  • Independently and, as necessary and appropriate, in collaboration with outside counsel, provide legal review, editing and advice on a variety of contractual agreements to include: 
    • 1) third-party vendor services contracts; 2) senior resident contracts and amendments; 3) clinical services and provider agreements; 4) sales, marketing, and marketing incentive contracts; 5) management, lease, financing, real estate purchase and sale agreements; and 6) construction, development and consulting agreements.
  • Advise and consult with senior living management independently and, as necessary and appropriate in collaboration with outside counsel, on legal, regulatory and compliance issues that may encompass the following categories:
    • 1) Fair Housing Act and senior rights; 2) Texas Dept. of Aging and Disabilities (DADS), Texas Health and Human Services (HHS) or Texas Health and Safety Code compliance; 3) Standards of Participation (SoP) for federal health care programs (Centers for Medicare and Medicaid Services (CMS); 4) charity care taxing authority requirements to maintain non-profit property tax exemption status; 5) required contractual Attestations and certificates of Authority for regulatory compliance; and 6) federal and state HIPAA privacy and security of personal health information (PHI) and personal identification information (PII) compliance.
  • Review and provide guidance and recommendations on various types of policies and procedures.
  • Provide legal advice and guidance, in collaboration with outside counsel when appropriate, to assist senior living management in considering various corporate structures for exploring alternative senior delivery models and growth opportunities, while ensuring compliance with applicable laws and regulations governing the operation of a 501(c)(3) non-profit organization.
  • Keep abreast of legislation, legal and business trends, and monitor developments, including proposed legislation and court decisions relevant to the senior retirement industry and evaluate their impact upon the operations of Buckner retirement services.
  • Assist the General Counsel in the coordination of and monitoring of legal matters assigned to outside counsel as well as achievement of legal department goals and objectives.
  • Work collaboratively with others. Position may require supervision of staff attorney or paralegal for particular projects or assignments.

Requirements

5 STARS Person:

  • Must have a Juris Doctor (JD) degree from an accredited law school and must be licensed to practice and in good standing with the State Bar of Texas with a minimum of five (5) years of experience reviewing, editing, and drafting a wide variety of contracts.
  • Prior legal experience in the senior living and retirement sector a plus but not required.
  • Prior experience in performing a variety of legal duties as well as demonstrated business law knowledge preferred.
  • Must have a detail orientation as well as ability to meet multiple deadlines by maintaining a high level of organization.
  • Requires ability to occasionally travel to various geographic locations within Texas. A valid TX driver’s license or equivalent from another domestic state required.
