Job Summary:
ALM First is seeking a practical, highly organized and business-minded Corporate Counsel to provide day-to-day legal support to the company and its leadership team. This is a hands-on, approximately 30-hour-per-week position designed for an attorney who enjoys working closely with business leaders and managing a broad range of corporate and commercial legal matters.
The Corporate Counsel will serve as ALM First's primary internal legal resource, working closely with the CEO, Sales, Accounting, Chief Compliance Officer and outside counsel. The role will focus on contracts, legal research and analysis, corporate matters, risk management and strategic initiatives. The Corporate Counsel will prepare initial analyses, drafts and recommendations for review by the CEO and/or outside counsel and will help determine when specialized outside legal expertise is appropriate. The role is intended to complement, not replace, the company's Chief Compliance Officer and outside counsel.
Responsibilities:
- Serve as the primary internal legal resource for day-to-day corporate and commercial legal matters.
- Review, prepare, revise and manage customer, vendor, procurement, confidentiality, consulting and other commercial agreements, including renewals and amendments.
- Partner with Sales, Accounting and the CEO to address contract-related matters and support business objectives.
- Conduct legal research and prepare practical analyses, recommendations and draft documents for review by the CEO and/or outside counsel.
- Identify and communicate potential legal, contractual and business risks and recommend practical approaches for addressing them.
- Serve as the primary internal liaison with Kilpatrick, coordinating matters, providing background and documentation, preparing initial drafts and helping manage legal fees and outside counsel resources.
- Work with the Chief Compliance Officer on legal and regulatory matters while supporting, rather than duplicating, the company's compliance function.
- Support corporate governance, strategic transactions, investments, acquisitions and other corporate initiatives as needed.
- Coordinate with outside counsel on employment matters, litigation, specialized regulatory matters and other matters requiring external legal expertise.
- Develop and maintain legal templates, processes and resources that improve the efficiency and consistency of the company's legal function.
- Maintain current knowledge of legal developments affecting the company, its clients and the financial services industry.

Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school and admission to at least one U.S. state bar.
- Minimum two (2) years of legal experience, preferably in corporate, commercial, transactional or in-house practice.
- Strong understanding of commercial contracts and general corporate legal matters.
- Ability to conduct legal research, analyze legal issues and translate legal concepts into clear, practical business recommendations.
- Strong written and verbal communication skills, with the ability to communicate effectively with executives and non-legal professionals.
- Strong attention to detail, organization and project-management skills, with the ability to manage multiple priorities independently.
- Practical, business-oriented approach to legal issues and the ability to balance legal risk with business objectives.
- Comfortable working collaboratively with executives, business partners and outside counsel.
- Ability to recognize when matters require escalation to the CEO, Chief Compliance Officer or outside counsel.
- Experience in financial services, investment management, banking or another regulated industry is preferred.
- Familiarity with corporate governance, regulatory matters and/or SEC-regulated businesses is preferred.
- Proficiency with Microsoft Office, including Word, Excel and Outlook.

Physical Requirements & Work Environment:
- Position may be performed remotely or in a professional office environment, depending on the employee's work arrangement.
- Prolonged periods of sitting and screen time while working at a computer and participating in virtual and, when applicable, in-person meetings.
- Ability to read, analyze and prepare contracts, legal documents, reports and electronic communications.
- Ability to communicate effectively by telephone, email, video conference and, when applicable, in person.
- Frequent interaction with the CEO, executive leadership, Chief Compliance Officer, business leaders, outside counsel and colleagues.
- Ability to maintain confidentiality and discretion when handling sensitive legal, corporate, financial and business information.
- No routine travel is required; occasional travel may be requested for specific business needs or company events.
Language Skills:
Ability to read, analyze and interpret business periodicals, professional journals, governmental regulations and legal materials. Ability to conduct legal research and prepare clear, concise legal and business documents. Ability to effectively communicate legal concepts and recommendations to executives, management, business partners and outside counsel.
Work Schedule:
This is a part-time position of approximately 30 hours per week with a flexible schedule. The position may be performed remotely, subject to business needs. The successful candidate must maintain reliable communication and availability during agreed-upon working hours and effectively participate in virtual meetings and other remote business activities.
